Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and [COMPANY LEGAL NAME] ("PayerVista," "we," "us," or "our") governing your access to and use of the PayerVista platform, websites, and related services (collectively, the "Service"). By creating an account, checking the acceptance box at signup, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Business use only; eligibility

The Service is offered solely for use by businesses and their authorized personnel in connection with healthcare revenue cycle operations. By using the Service, you represent that you are at least 18 years old, that you are using the Service on behalf of a business, and that you have authority to bind that business to these Terms. The Service is not intended for personal, family, or household use, and is not directed to consumers.

2. Description of the Service

PayerVista is a revenue cycle management analytics platform that ingests EDI 835 electronic remittance advice data, and optionally EDI 837 claim data, and presents claim, payment, denial, and variance analytics.

These files contain Protected Health Information ("PHI"). PayerVista receives and maintains that PHI on your behalf and therefore acts as a HIPAA Business Associate. A Business Associate Agreement ("BAA") is required before you transmit PHI to the Service, and one is available — contact support@payervista.com. An earlier version of these Terms described the Service as ingesting only de-identified data and not processing PHI. That description did not reflect how the Service operates and has been corrected.

3. Accounts and security

You are responsible for the accuracy of the information you provide, for maintaining the confidentiality of your account credentials, for all activity that occurs under your account, and for promptly removing access for personnel who should no longer use the Service. Notify us at support@payervista.com if you suspect unauthorized use of your account.

4. Acceptable use

You agree not to:

  • Access, or attempt to access, another customer's data, workspace, or tenant.
  • Transmit Protected Health Information to the Service before a Business Associate Agreement is in place, or through channels not intended for it (including support messages, feedback forms, or file names).
  • Upload malicious code, attempt to breach security or authentication measures, or probe, scan, or test the vulnerability of the Service without our prior written consent.
  • Reverse engineer, decompile, resell, sublicense, or create derivative works from the Service except to the extent this restriction is prohibited by law.
  • Use the Service to violate any applicable law, payer rule, or third-party right, or in any way that interferes with or disrupts the Service.

We may suspend or terminate access that we reasonably believe violates this section or creates risk to the Service or other customers.

5. Subscriptions, billing, and auto-renewal

Paid subscriptions are billed through our third-party payment processor, Stripe, on a recurring monthly basis at the price presented at checkout (currently $199.99/month unless otherwise stated). By subscribing, you authorize us and Stripe to charge your payment method on a recurring basis until you cancel. Subscriptions automatically renew at the end of each billing cycle at the then-current rate unless canceled beforehand. We do not store full payment card numbers; card data is handled by Stripe. You are responsible for all applicable taxes.

6. Cancellation and refunds

You may cancel at any time from within the application. Cancellation takes effect at the end of the current paid billing cycle, and you retain access until then. Fees already paid are non-refundable and are not prorated, except as required by law or as described in our Refund Policy (for example, duplicate charges or billing errors). 7. Intellectual property

The Service, including all software, design, text, and other materials we provide, is owned by PayerVista or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service during your subscription for your internal business purposes. You retain ownership of the data you submit to the Service ("Customer Data"), and you grant us a license to host, process, and display Customer Data solely to provide and improve the Service. You grant us the right to use aggregated and de-identified data that does not identify you or any individual for analytics and product improvement, to the extent permitted by the BAA and applicable law.

8. No professional advice; informational analytics

The analytics, metrics, forecasts, and outputs provided by the Service are informational only and are not billing, coding, financial, legal, medical, or professional advice. You are solely responsible for your billing, coding, and compliance decisions and for verifying any figures before relying on them. The Service does not submit claims to payers and does not guarantee payment, reimbursement, or any financial outcome.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANALYTICS WILL BE ACCURATE OR COMPLETE.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAYERVISTA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. PAYERVISTA'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE TOTAL FEES YOU PAID TO PAYERVISTA IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

11. Indemnification

You agree to indemnify, defend, and hold harmless PayerVista and its officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your Customer Data, including your authority to submit it and your compliance with your own obligations as a covered entity; (b) your use of the Service in violation of these Terms or applicable law; or (c) your violation of any third-party right.

12. Governing law and dispute resolution

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. Arbitration: Any dispute arising out of or relating to these Terms or the Service that is not resolved informally will be resolved by binding arbitration administered by [ARBITRATION BODY, e.g., the American Arbitration Association] under its applicable commercial rules, seated in [COUNTY], Florida. Judgment on the award may be entered in any court of competent jurisdiction. Class-action waiver: Disputes will be resolved individually, and you and PayerVista waive any right to bring or participate in a class, collective, or representative action. Either party may seek injunctive relief in a court of competent jurisdiction in Florida to protect its intellectual property or confidential information.

13. Modifications to the Service and Terms

We may modify the Service or these Terms from time to time. If we make material changes to these Terms, we will update the version and "Last updated" date on this page and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

14. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you materially breach these Terms, fail to pay fees, or create risk to the Service or other customers. Sections that by their nature should survive termination (including Sections 7–12) will survive.

15. Miscellaneous

These Terms, together with the Privacy Policy, any Business Associate Agreement, and any order form or Master Service Agreement you enter into with us, constitute the entire agreement between you and PayerVista regarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
